Contracting Party: Chinatsu Ki LLC (“Company,” “we,” “us,” “our”)

These Terms & Conditions (“Terms”) govern your purchase of and access to Chinatsu’s 365 Days Shower Of Words (the “Product”). By purchasing, subscribing to, registering for, accessing, or using the Product, you agree to be bound by these Terms, which constitute a legally binding agreement.

1. Product Description

1.1 The Product is a video-based content offering in which Chinatsu reads and presents the “Chinatsu’s 365 Days Shower Of Words” newsletter content in video form.

1.2 The Product is delivered as a course hosted on systeme.io. Content is provided as “lectures” that unlock on a schedule.

1.3 The Product is offered on a monthly subscription basis. During an active subscription month, one video unlocks per day for that subscribed month.

1.4 The Product contains a total of 366 daily videos (excluding any welcome video). Availability of specific videos during any given subscription month depends on the daily unlock schedule.

1.5 The Product is provided for educational, inspirational, and informational purposes only. Results are not guaranteed and depend on your effort, experience, and application.

2. What You Are Purchasing

2.1 Your subscription grants you access to the Product for the duration of your paid subscription period, as described on the relevant product page and/or checkout page.

2.2 You are not purchasing ownership of the underlying content, scripts, recordings, translations, or intellectual property. All rights not expressly granted are reserved by the Company.

3. Language Versions, Translations, and Content Differences

3.1 The original newsletter was created in Japanese. The newsletter is also available in English and Chinese. Additional languages may be added in the future.

3.2 The Product includes videos presented in multiple languages. At present, available video languages include English, Japanese, and Chinese (availability may change over time).

3.3 You acknowledge and agree that there may be differences between:
• the newsletter text and any video version; and/or
• versions across different languages (English, Japanese, Chinese), including differences in phrasing, nuance, tone, timing, emphasis, expression, or localization choices.

3.4 No translation or localization is guaranteed to be exact or identical in meaning in every instance. Translated versions are provided for accessibility and convenience.

3.5 We may update, revise, replace, or improve translations, recordings, or presentation formats from time to time.

4. Access, Delivery, and Technical Requirements

4.1 Access is delivered digitally via systeme.io. You will receive access instructions via the email address you provide at checkout.

4.2 You are responsible for ensuring your email address is accurate. We are not responsible for delays or loss of access caused by an incorrect email address provided at checkout.

4.3 Internet access and a compatible device/browser are required. We are not responsible for technical issues caused by your device, browser, software configuration, internet connection, or third-party platform outages.

5. Subscription, Billing, Cancellation, and Refunds

5.1 Subscription term: The Product is billed monthly unless otherwise stated on the sales page.

5.2 Renewal: Unless you cancel, your subscription may renew automatically on a monthly basis (where supported by the payment method and checkout configuration).

5.3 Cancellation: You may cancel according to the instructions provided on the purchase page, your account portal, or purchase confirmation materials.

5.4 Access after cancellation: If you cancel, you will retain access until the end of your current paid billing cycle, unless otherwise stated on the sales page.

5.5 Refund policy: All payments are non-refundable except where required by applicable law or where explicitly stated otherwise on the sales page. We do not provide prorated refunds for partial months or unused time.

5.6 Chargebacks and disputes: If a chargeback or payment dispute is initiated without first contacting us to attempt resolution, we may suspend access while the dispute is pending, subject to applicable law.

6. Permitted Use and Restrictions

6.1 The Product is licensed to you for personal use only (or internal use by the purchasing entity, if expressly stated on the sales page).

6.2 You may not share login credentials or provide access to others. Sharing access violates these Terms and may result in access removal without refund (except where required by law).

6.3 Unless explicitly permitted in writing, you may not:
• copy, reproduce, distribute, publicly perform, publish, upload, transmit, sell, sublicense, or create derivative works from the Product;
• record, screen-capture, download (if not expressly provided), or otherwise extract the Product from the delivery platform;
• use the Product for commercial redistribution, training resale, or public presentations.

6.4 We may suspend or terminate access (without refund except where required by law) if you violate these Terms or misuse the Product.

7. Intellectual Property

7.1 All content, including videos, scripts, newsletter text, translations, audio, design elements, structure, and related materials are the exclusive intellectual property of Chinatsu Ki LLC and/or its licensors, and are protected by copyright and other laws.

7.2 No rights are granted except as expressly stated in these Terms.

8. Updates and Platform Account Status

8.1 We may add, revise, or update content at any time. Existing subscribers typically receive updates at no additional charge unless otherwise specified.

8.2 Platform account status (inactivity): Because access is hosted on systeme.io, account availability and retention may be affected by the platform’s system rules. If your account is inactive for an extended period, the platform may restrict access, block the account, or delete account data. You are responsible for maintaining access by logging in periodically and keeping your account information current. We are not responsible for access loss caused by platform-based inactivity measures.

9. Disclaimers

9.1 The Product is provided “as is” and “as available.” We do not guarantee uninterrupted access, perfect translation accuracy, or that all versions will be identical across languages or formats.

9.2 The Product does not constitute legal, medical, psychological, financial, or therapeutic advice. You are solely responsible for decisions and actions you take based on the Product.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, we are not liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to your subscription, purchase, access to, or use of the Product.

10.2 Your sole remedy for dissatisfaction is to discontinue use of the Product, except where a remedy is required by law.

12. Modifications to the Product and These Terms

12.1 We may update the Product (including language versions, translations, recordings, the unlock schedule, platform delivery, or supporting materials) to improve quality, accessibility, or operations.

12.2 We may update these Terms at any time. Continued use of the Product after updates become effective constitutes acceptance of the revised Terms.

13. Governing Law & Venue

13.1 These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

13.2 You agree to the exclusive jurisdiction of the state and federal courts located in New York County, New York, for any dispute arising out of or relating to these Terms or the Product.
